You voted to approve the SU’s new Articles of Association, with 90% of votes cast in favour at the Adjourned General Meeting. Find out what was decided and what happens next.
New Articles of Association Approved
We are pleased to announce that the special resolution to adopt new Articles of Association has been passed at the Adjourned General Meeting held on 27 May 2026.

Adopting these new Articles will ensure we remain fit for purpose as we deliver our Foundations for the Future strategy and continue to make student life better at Roehampton.”
What are Articles of Association?
Articles of Association are a registered charity’s and company’s foundational governing document. They set out the Union’s purpose, how it is structured, how decisions are made, and the rules by which it operates. As a registered charity and company limited by guarantee, Roehampton Students’ Union is legally required to have Articles of Association in place. Any changes to this document must be approved by a special resolution, a vote requiring at least 75% support under the Companies Act 2006, and subsequently submitted to both Companies House and the Charity Commission.
Meeting vote result
The Adjourned General Meeting took place on 27 May 2026 in Montefiore Hall. In line with the Union's Articles, the adjourned meeting was quorate and able to proceed. The special resolution passed with 90% of votes cast in favour, comfortably exceeding the 75% threshold required under section 283 of the Companies Act 2006
The result builds on a clear mandate from the wider membership. During the Student Leadership Elections, we held an advisory referendum where 79% of members who voted backed the adoption of the new Articles of Association, across a total of 714 votes cast.
What happens next
With the special resolution now passed, the following steps will take place ahead of the new Articles coming into effect:
- June 2026 – The Articles of Association will be submitted to University Council for approval.
- Following Council approval – The Articles will be submitted to the Charity Commission, as required for a registered charity updating its governing document.
- July 2026 – The Union’s Board of Trustees will approve updated bye-laws related to the new Articles at their July Board meeting.
- 1 August 2026 – The new Articles of Association and updated bye-laws will formally come into effect.
We will share further updates through the summer as this process progresses.
